Terms of Service

Effective date: May 8, 2026

These Terms are written to clearly explain how Waldron Innovation Network works with clients. They are not a substitute for legal advice, and project-specific written agreements, invoices, or statements of work may add to or modify these Terms.

1. Overview

These Terms of Service (“Terms”) govern your use of our website and your purchase of website design, development, hosting, maintenance, support, and related services from Waldron Innovation Network (“WIN,” “we,” “us,” or “our”). By contacting us, approving a quote, paying an invoice, purchasing a package, or subscribing to a hosting or maintenance plan, you agree to these Terms.

2. Quotes, Scope, and Client Responsibilities

Each project is delivered according to the package description, written quote, invoice, email confirmation, or statement of work approved by the client. Work outside the agreed scope may require a separate quote, timeline, or change order.

  • You are responsible for providing accurate business information, approvals, content, images, account access, and feedback needed to complete the work.
  • Delays in client responses, approvals, content, or third-party access may delay delivery timelines.
  • We may decline requests that are outside scope, unlawful, abusive, technically unreasonable, or inconsistent with the project agreement.

3. Payment, Deposits, and Payment Processing

Payment timing and amounts will be stated in writing before work begins. Payments may be processed through Stripe or another third-party payment provider. We do not store full payment card numbers. Late, failed, reversed, or disputed payments may pause work, support, hosting, maintenance, access to deliverables, or launch activities until the account is brought current.

4. Hosting, Maintenance, and Subscriptions

Hosting and maintenance plans are optional recurring services unless included in a written agreement. Recurring plans renew automatically until canceled. Unless stated otherwise in writing, cancellations take effect at the end of the current paid billing period and do not automatically create a refund for time already billed.

If a subscription, hosting plan, or maintenance plan is canceled, expires, charged back, or remains unpaid, we may stop providing hosting, updates, support, monitoring, backups, domain renewal, DNS management, email forwarding, SSL management, and related services tied to that plan.

5. Domains, DNS, and Cancellation

If domain registration, renewal, DNS management, or domain-related services are included in your hosting or maintenance subscription, those services depend on the subscription remaining active and paid. If you cancel your subscription or fail to pay, you may forfeit domain-related services provided through WIN, including domain renewal, domain management, DNS support, SSL support, and access to any domain controlled through our registrar or account.

If you want to keep or transfer a domain, you must request the transfer in writing before cancellation, nonpayment, expiration, or renewal deadlines. Transfers may require full payment of outstanding balances, registrar fees, transfer fees, identity verification, and cooperation with registrar rules. We are not responsible for domain expiration, loss, redemption fees, downtime, search ranking loss, email interruption, or third-party fees caused by cancellation, nonpayment, delayed transfer requests, registrar rules, or inaccurate client information.

6. Revisions, Launch, and Post-Launch Support

Revision rounds, bug-fix windows, and support periods are limited to the package or written agreement selected. A revision round means one organized batch of feedback submitted together, not unlimited ongoing edits. After launch, new features, redesign requests, content changes, integrations, or support outside the agreed window may be quoted separately.

7. Refunds, Cancellations, and Disputes

Because our services are custom, time-based, and often begin shortly after payment, refunds are not guaranteed. If a project is canceled after work has started, we may invoice or retain payment for work completed, time reserved, third-party costs, setup costs, planning, design, development, administrative work, and other non-recoverable expenses. Payment disputes or chargebacks may pause all work and services until resolved.

8. Third-Party Services

Your website may rely on third-party services such as Vercel, Stripe, Calendly, registrars, DNS providers, email providers, analytics tools, CRMs, plugins, fonts, stock image providers, or other platforms. Those services are governed by their own terms, privacy policies, availability, and pricing. We are not responsible for third-party outages, policy changes, pricing changes, account restrictions, security incidents, or feature changes.

9. Intellectual Property and Licenses

Upon full payment of all amounts due, you own the final website files and custom project assets we created specifically for you, except for third-party materials, open-source libraries, fonts, stock images, plugins, tools, platform code, templates, reusable internal systems, and pre-existing WIN materials, which remain subject to their existing licenses or ownership. We may display completed work in our portfolio unless you request otherwise in writing.

10. No Guaranteed Results

We work to build professional, responsive, conversion-focused websites, but we do not guarantee specific business outcomes, revenue, rankings, traffic, leads, sales, uptime, approvals, platform acceptance, or search engine placement. Results depend on many factors outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, WIN will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, domain loss, downtime, business interruption, search ranking changes, or third-party service failures. Our total liability for any claim is limited to the amount you paid us for the specific service giving rise to the claim.
